mShift shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability arising out of or relating to these Terms or the Services shall not exceed the amount paid (if any) by you to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless mShift and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising out of:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

We may suspend or terminate access to the Services at any time for violation of these Terms or other legitimate business reasons.

Upon termination:

• Your right to use the Services will cease immediately.
• Any provisions that by nature should survive termination will remain in effect.

13. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Arizona, and you consent to jurisdiction in those courts.

14. Changes to These Terms

We may update these Terms from time to time. We will revise the “Last Updated” date accordingly. Continued use of the Services after updates constitutes acceptance of the revised Terms.
